Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the MLAB website, services, and products (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.

If you do not agree to these Terms, please do not use our Services. We reserve the right to modify these Terms at any time. Your continued use of the Services after changes are posted constitutes acceptance of those changes.

MLAB provides custom manufacturing services including but not limited to:

• Reverse engineering and part recreation
• 3D printing and rapid prototyping
• CNC machining services
• Plastic recycling and sustainable product manufacturing
• IoT device development and testing
• Custom software development
• Metal etching services

All services are subject to availability, feasibility assessment, and mutual agreement between MLAB and the client.

Acceptable Use

You agree to use our Services only for lawful purposes and in accordance with these Terms.

You agree NOT to:

• Use the Services for any illegal purpose or in violation of any local, state, national, or international law
• Request production of items that infringe on intellectual property rights of others
• Request manufacturing of weapons, dangerous items, or products intended to cause harm
• Provide false, inaccurate, or misleading information
• Attempt to gain unauthorized access to our systems or networks
• Interfere with or disrupt the Services or servers connected to the Services
• Engage in any conduct that restricts or inhibits anyone's use of the Services

Payment Terms

• Payment terms will be specified in each project agreement
• A deposit may be required before work commences
• Final payment is typically due upon project completion or delivery
• Late payments may be subject to interest charges as permitted by law
• We reserve the right to suspend or terminate services for non-payment
• All prices are in U.S. Dollars unless otherwise specified

Intellectual Property Rights

Limitation of Liability

In any case, our total liability for any claims arising out of or related to these Terms or the Services shall not exceed the amount paid by you to MLAB for the specific services giving rise to the claim.

Indemnification

You agree to indemnify, defend, and hold harmless MLAB and its employees from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with:

• Your violation of these Terms
• Your violation of any third-party right, including intellectual property rights
• Your misuse of the Services
• Your use of products or services we provide

Termination

We reserve the right to terminate or suspend your access to our Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

Upon termination, your right to use the Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of the Services shall be resolved in the state or federal courts located in El Dorado County, California, and you consent to the personal jurisdiction of such courts.

Dispute Resolution

In the event of any dispute, claim, or controversy arising from these Terms or the Services, both parties agree to first attempt to resolve the matter through good faith negotiations.

If negotiations fail, both parties may agree to pursue mediation before initiating litigation. Any mediation shall take place in El Dorado Hills, California.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.

Entire Agreement

These Terms, together with any project agreements and our Privacy Policy, constitute the entire agreement between you and MLAB regarding the use of our Services and supersede all prior agreements and understandings, whether written or oral.
